This Contract shall be governed by and construed in accordance with the laws of the State of Minnesota, U.S.A., without regard to choice-of-law principles that may result in the application of the laws of another state. Any dispute between the parties arising under or relating to this Contract shall be subject to the exclusive jurisdiction of the United States District Court for the State of Minnesota or the State courts sitting in the County of Washington. You hereby agree to submit to the jurisdiction of, and agree that venue is proper in, those courts in any such legal action or proceeding.
