Filing A Beneficial Ownership Information Report (BOIR)

As we are approaching the end of the year, we want to remind you of the requirement to file a Beneficial Ownership Information Report (BOIR) under the CTA. The BOIR must be filed by a domestic reporting company, which is defined under the CTA as an entity that is a corporation, limited liability company, or other legal entity that is created by filing a document with the Secretary of State or a similar office under state or tribal laws.

The reporting requirements are as follows:

  1. If your company was formed prior to January 1, 2024, the BOIR is due January 1, 2025.
  2. If your company was formed during 2024, the BOIR is due within 90 days after the creation of the entity.

Attached is a handout regarding the CTA, which will provide you with more detail regarding the filing requirements.

If you have any questions regarding the filing requirements, or you would like our assistance with the filing of the BOIR, please contact our office. Please note that unless you specifically request us to file the BOIR, we will not undertake any action to file the BOIR for you.

If you would like to file the BOIR yourself, the website is https://boiefiling.fincen.gov/

Once you have filed your initial BOIR, you are all set, unless you have any changes, updates, or corrections to the previously reported information, such as a change in your ownership roster. If that occurs, you must file an updated BOIR within 30 days of the change.
